Terms of Business

These Terms of Business provide general information about the services offered by Zen Garden Homes Ltd.

They do not by themselves appoint Zen Garden Homes or create a paid sourcing engagement.

Before paid work begins, the client will receive a separate written proposal, sourcing agreement or engagement document. That agreement will describe the specific service, fees, payment dates, cancellation terms and responsibilities that apply.

If there is a conflict, the signed client agreement will take priority, except where the law says otherwise.

2. Our services

Depending on the written agreement, our services may include:

  • Discussing an investor’s requirements
  • Searching for property opportunities
  • Speaking with landlords, agents, vendors and sourcers
  • Reviewing information supplied about an opportunity
  • Preparing a summary of available figures and assumptions
  • Introducing clients to property owners, agents or professional advisers
  • Providing administrative support while an opportunity is considered

The precise scope will be stated in the written client agreement.

3. No guarantee that an opportunity will be found

Property availability and market conditions can change quickly.

We do not guarantee that:

  • A suitable property will be found
  • A particular opportunity will remain available
  • An offer will be accepted
  • A purchase, lease or other transaction will complete
  • Finance will be approved
  • Planning, licensing, mortgage, insurance or lease consent will be available
  • A property will achieve a particular rent, occupancy level, resale value, profit or return

4. Information and estimates

Information may come from property owners, agents, listing platforms, public sources and other third parties.

We take reasonable care when presenting information, but cannot guarantee that third-party information is complete, current or error-free.

Any income, cost, refurbishment, occupancy, yield, cash-flow or return figure is an estimate based on stated assumptions. Actual results may be different.

Clients must independently verify all information before committing money or entering into an agreement.

5. No regulated or professional advice

Unless expressly agreed in writing and provided by a suitably authorised person, we do not provide:

  • Financial or investment advice
  • Mortgage or credit advice
  • Tax advice
  • Legal advice
  • Conveyancing
  • Structural surveys
  • Formal property valuations
  • Planning advice
  • Licensing advice
  • Insurance advice

Clients should obtain independent advice from appropriate solicitors, accountants, mortgage advisers, surveyors, planning specialists, licensing authorities and other professionals.

6. Client responsibilities

The client is responsible for:

  • Providing accurate requirements and information
  • Explaining their available budget and funding position
  • Completing their own legal, financial, property and commercial checks
  • Obtaining independent professional advice
  • Checking planning, licensing, mortgage, lease and insurance restrictions
  • Reviewing all documents before signing
  • Making their own investment decision
  • Responding within a reasonable time where an opportunity is time-sensitive
  • Providing identification, source-of-funds evidence or other documents where lawfully required

7. Fees and payment

No sourcing fee becomes payable solely because a visitor submits a website form.

Fees, deposits, reservation payments, retainers, success fees and payment dates will be stated in the written proposal or client agreement.

The client must review and accept those terms before paid work begins.

Any applicable VAT treatment will be stated on the relevant invoice or agreement.

8. Cancellation and refunds

Cancellation and refund rights depend on:

  • The client’s legal status
  • How and where the agreement was entered into
  • Whether work has started
  • The work already completed
  • The specific signed agreement
  • Any statutory consumer rights

Where the client is legally treated as a consumer and enters into a distance or off-premises service contract, a statutory cancellation period may apply.

If the client asks us to begin work during a statutory cancellation period, we may require an express request and acknowledgement. The client may be required to pay a proportionate amount for work completed before cancellation, where the law permits.

Nothing in these terms removes statutory rights.

9. Introductions and confidential opportunities

Opportunity information and deal summaries may be confidential and supplied only to the intended recipient.

The client must not share, publish, sell or pass opportunity information to another person without written permission.

Any introduction-protection, non-circumvention or continuing-fee period will only apply where it is clearly stated in the signed client agreement.

10. Third parties

Agents, landlords, vendors, solicitors, brokers, surveyors, contractors and other professionals are independent third parties.

Unless expressly stated in writing, they do not act for Zen Garden Homes and we are not responsible for their acts, omissions, advice, charges, timescales or performance.

A recommendation or introduction is not a guarantee or endorsement.

11. Client money

The website does not take payments or hold client money.

If payment arrangements change, the website and terms must be updated before the new process is used.

Do not state that Zen Garden Homes holds deposits, rents, purchase funds or other client money unless the required arrangements and protections are in place.

12. Intellectual property

Website content and original documents produced by Zen Garden Homes remain protected by applicable intellectual-property law.

A client may use a supplied deal summary for their own assessment of the relevant opportunity.

It must not be republished, resold or used to create a competing sourcing product without written permission.

Third-party material remains owned by its respective owner.

13. Limitation of liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to that, the detailed limits applying to a paid engagement will be stated in the signed client agreement.

We are not responsible for losses caused by:

  • A client’s failure to complete independent checks
  • Inaccurate or incomplete third-party information that we could not reasonably identify
  • Changes in property values, rents, costs, interest rates or market conditions
  • Finance, planning, licensing, legal, insurance or tax decisions
  • The actions or omissions of independent third parties
  • A client’s decision to proceed with or reject an opportunity

These terms do not reduce rights that cannot lawfully be excluded.

14. Complaints

We aim to deal with concerns fairly and promptly.

We will acknowledge the complaint and explain the next steps.

Do not name a redress scheme unless Zen Garden Homes has joined it and the membership details have been verified.

15. Data protection

Personal information is handled as explained in our Privacy Policy.

16. Changes to these terms

We may update these website terms from time to time.

Changes do not retrospectively alter an existing signed client agreement unless both parties agree or the law permits it.

17. Governing law

These terms are governed by the laws of England and Wales.

The courts that have jurisdiction will be determined by applicable law and the client’s status. Nothing in this section removes any mandatory consumer right to bring proceedings elsewhere.
